UR-Turn Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. Your access and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and UR-Turn. If you do not agree to these Terms, you may not access or use the Services.
1. Contractual Relationship & Amendments
Supersedence: These Terms expressly supersede all prior agreements or arrangements with you.
Termination: Subject to applicable law, UR-Turn may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services at any time for any reason.
Supplemental Terms: Supplemental terms may apply to certain Services (such as specific event policies or promotions). Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable Services, and will prevail in the event of a conflict.
Changes to Terms: UR-Turn may amend these Terms from time to time. Amendments will be effective upon UR-Turn's posting of updated Terms at this location. Your continued access or use of the Services after such posting constitutes your consent to be bound by the amended Terms.
Privacy & Data Sharing: Our collection and use of personal information is governed by UR-Turn's Privacy Policy. You expressly accept that UR-Turn may provide necessary information (including your contact info) to a claims processor or insurer if there is a complaint, dispute, conflict, or accident involving you and a Third Party Provider, if necessary to resolve the issue.
2. The Services
The Services constitute a technology platform that enables users of UR-Turn's mobile applications or websites (each, an "Application") to arrange and schedule transportation and/or logistics services with independent third-party providers under agreement with UR-Turn or its affiliates ("Third Party Providers").
CRITICAL ACKNOWLEDGMENT: YOU ACKNOWLEDGE THAT UR-TURN DOES NOT PROVIDE TRANSPORTATION OR LOGISTICS SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER. ALL SUCH TRANSPORTATION OR LOGISTICS SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY UR-TURN OR ANY OF ITS AFFILIATES.
License & Restrictions
Subject to compliance, UR-Turn grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Applications on your personal device solely for your personal, noncommercial use.
You specifically agree NOT to do any of the following without prior explicit written consent:
Remove any copyright, trademark, or proprietary notices from any portion of the Services.
Reproduce, modify, distribute, license, lease, sell, resell, transfer, publicly display, transmit, stream, or otherwise exploit the Services.
Decompile, reverse engineer, or disassemble the UR-Turn Services.
Link to, mirror, or frame any portion of the Services.
Launch any programs or scripts for scraping, indexing, surveying, or data mining the Services, or unduly burdening its operations.
Attempt to gain unauthorized access to or impair any aspect of the Services or its related systems.
Provision of Services & Third-Party Content
Service Tiers: You acknowledge that the Services may be made available under various brands or request options, currently including transportation request brands referred to as "Premium" and "Economy".
Third-Party Beneficiaries: If you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows, or BlackBerry mobile devices, then Apple Inc., Google, Inc., Microsoft Corporation, or BlackBerry Limited (and their applicable international subsidiaries) will be third-party beneficiaries to this contract. They are not parties to this contract and are not responsible for the provision or support of the Services.
Ownership: The Services and all rights therein are and shall remain UR-Turn's property. Neither these Terms nor your use of the Services convey any rights to use or reference UR-Turn's company names, logos, product/service names, or trademarks.
3. User Accounts & Conduct
User Accounts
To use most aspects of the Services, you must register for and maintain an active personal user account ("Account").
Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to obtain an Account.
Information Required: Registration requires you to submit personal data, including your name, address, mobile phone number, age, and at least one valid payment method (credit card or accepted payment partner).
Account Security: You are responsible for all activity that occurs under your Account and must maintain the security and secrecy of your username and password at all times. You may only possess one Account unless permitted otherwise.
Requirements & Behavior
Passenger Age Limit: The Service is not available for use by persons under the age of 21. You may not allow persons under 21 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you.
Lawful Use Only: You must comply with all applicable laws and may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not cause nuisance, annoyance, inconvenience, or property damage to the Third Party Provider or any other party.
Identity Verification: You agree that you may be asked to provide proof of identity to access the Services, and access may be denied if you refuse.
Text Messaging: By creating an Account, you agree that the Services may send you text (SMS) messages as part of normal business operations. You may opt-out via the UR-Turn Website, though opting out may impact your use of the Services.
Promotional Codes & User Content
Promo Codes: UR-Turn may create promotional codes for Account credit or benefits. Promo Codes must be used lawfully for the intended audience, cannot be duplicated or sold, are not valid for cash, may be disabled at any time without liability, and may expire. UR-Turn reserves the right to withhold or deduct credits if it determines a code was used fraudulently, illegally, or in error.
User Content License: If you submit textual, audio, or visual content (commentary, feedback, support requests), it remains your property. However, you grant UR-Turn a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, copy, modify, distribute, and exploit your content across all media channels without further notice, consent, or payment.
Content Restrictions: You agree not to provide User Content that is defamatory, hateful, violent, obscene, unlawful, or offensive. UR-Turn may monitor or remove content at any time for any reason without notice.
Network and Devices: You are solely responsible for obtaining data network access and paying any mobile network data/messaging rates or fees. UR-Turn does not guarantee that the Services will function on any particular hardware or device, or that it will be free from internet communication delays or malfunctions.
4. Payment & Fees
Facilitation of Charges: You understand that use of the Services may result in charges for services or goods received ("Charges"). UR-Turn or its contracted collection agent will facilitate your payment on behalf of the Third Party Provider as their limited payment collection agent.
Refund Policy: Charges paid by you are final and non-refundable, unless otherwise determined by UR-Turn.
Adjustments & Demand Pricing: UR-Turn reserves the right to establish, remove, and/or revise Charges at its sole discretion. You acknowledge that Charges in certain geographical areas may increase substantially during times of high demand.
Cancellations: You may elect to cancel your request for services or goods at any time prior to the Third Party Provider's arrival, in which case you may be charged a cancellation fee.
Tipping: Tipping is entirely voluntary. You are under no obligation to provide a gratuity to Third Party Providers, though you are free to do so.
Repair or Cleaning Fees: You are responsible for the cost of repair for damage to, or necessary cleaning of, Third Party Provider vehicles and property resulting from your Account use in excess of normal "wear and tear". UR-Turn reserves the right to facilitate payment for these reasonable costs using your on-file payment method.
5. Left Property Disclaimer
User Responsibility: It is your responsibility to ensure you remove your property from the vehicle when disembarking.
Liability Limitation: If property is left behind, Third Party Providers may hand it over to UR-Turn offices or a local service entity. However, UR-Turn shall not be held liable if a provider fails to return your property, nor shall UR-Turn be liable for loss or damage to your property while it is in transit.
Retention Period: If left property is successfully turned over to UR-Turn, it will be kept for a maximum period of one month. If you fail to collect your property within this one-month window, UR-Turn is entitled to deal with the property as it deems fit, and you shall have no claim whatsoever against UR-Turn for your unclaimed property.
6. Arbitration & Dispute Resolution
Arbitration Waiver
You agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the use of the Applications and Services (collectively, "Disputes"), will be settled by binding arbitration between you and the relevant local Affiliate (or UR-Turn Inc. if no Affiliate is incorporated in your jurisdiction).
YOU ACKNOWLEDGE AND AGREE THAT YOU AND UR-TURN ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Arbitration Process and Rules
Mandatory Mediation: Any Dispute must first be mandatorily submitted to mediation proceedings under the International Chamber of Commerce Mediation Rules ("ICC Mediation Rules").
Escalation to Arbitration: If the Dispute is not settled within sixty (60) days after a request for mediation is submitted, it will be exclusively and finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce ("ICC Arbitration Rules"). The Emergency Arbitrator provisions are excluded.
Arbitrator & Location: The Dispute shall be resolved by one (1) arbitrator. The venue for both mediation and arbitration shall be the city where the applicable disputing UR-Turn Affiliate has its registered office.
Language: Proceedings will be conducted in English (or bilingual in English and your native language if you do not speak English).
Confidentiality: The existence and content of the mediation and arbitration proceedings must remain strictly confidential and cannot be disclosed to third parties without express written consent.
7. Data Collection & Equipment Tracking
In addition to standard app usage data, UR-Turn will collect location-based data from your Equipment at all times it is powered on, regardless of whether you are actively using the UR-Turn Platform.
Purpose: This continuous tracking data is used to perform research, testing, and analysis to improve the program, for advertising purposes, and to assist with loss prevention if equipment goes missing.
Consent: Contractors and operators of the vehicle explicitly acknowledge awareness of and consent to this continuous tracking. Contractors are responsible for powering on the tracking equipment only when driving to provide ride-hailing services and powering it off otherwise.
8. General Provisions
Choice of Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the relevant UR-Turn Affiliate is incorporated.
Account Notifications: UR-Turn may give notice via a general notice on the Services, an electronic mail to your Account email address, or written communication to your physical Account address.
Assignment Restrictions: You may not assign or transfer these Terms without prior written approval. You hereby give UR-Turn approval to assign or transfer these Terms in whole or in part to an Affiliate, an acquirer of equity/assets, or a successor by merger.
No Employment Relationship: No joint venture, partnership, employment, or agency relationship exists between you, UR-Turn, or any Third Party Provider as a result of this contract or your use of the Services.
Severability: If any provision of these Terms is held to be illegal, invalid, or unenforceable, the remaining provisions will continue in full force and effect. The invalid clause will be replaced with a legal provision that mirrors its original content and purpose as closely as possible.
Entire Agreement: These Terms constitute the entire agreement and understanding of the parties regarding its subject matter and fully replaces all prior agreements or undertakings.
